Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Terracotta Cyber Solutions Limited ("Casebyte", "we", or "us"), a company incorporated in Hong Kong, governing your use of the Casebyte platform (the "Service"). By using the Service, you agree to these Terms and our Privacy Notice.

2. Registration

To access the Service, you must create an account by providing:

  • your email address;
  • your name (optional); and
  • your professional role (optional).

The Service is for legal professionals, researchers, and law students. You must be at least 18 years old to register and have the legal capacity to enter into this agreement. You must not use the Service for unlawful purposes or in breach of applicable professional conduct rules.

You may hold only one account. You are responsible for all activity under your account and must keep your login credentials confidential. If you suspect unauthorised access, contact us at support@casebyte.ai.

3. User Obligations

You agree not to:

  • use the Service in breach of applicable law, including the Personal Data (Privacy) Ordinance (Cap. 486), the Legal Practitioners Ordinance (Cap. 159), or applicable professional conduct rules;
  • submit information subject to legal professional privilege, client confidentiality, or that constitutes sensitive personal data (including health, financial, or biometric data) of any third party ("Sensitive Information");
  • present AI-generated responses (“Outputs”) as your independent professional opinion or as legal advice without first verifying them;
  • submit unlawful, infringing, or defamatory content;
  • use the Service to train or develop competing AI systems without our written consent;
  • use bots or scraping tools to extract data from the Service without our written consent;
  • overload, stress-test, or attempt denial-of-service attacks on the Service; or
  • circumvent any access controls or security features.

4. Professional Conduct and AI Use

4.1 No Legal Advice

The Service provides legal research assistance only. Outputs do not constitute legal advice or professional legal opinion. Outputs may contain errors or outdated information. You must verify all Outputs before relying on them. We accept no liability for loss arising from unverified use.

4.2 Professional Responsibility

If you are a solicitor, barrister, trainee solicitor, pupil barrister, or other legal professional, you remain responsible for compliance with the Hong Kong Solicitors' Guide to Professional Conduct (including Principle 1.07), the Law Society's AI Position Paper (January 2024), and/or the Hong Kong Bar Association Code of Conduct. You must also ensure your use of the Service does not breach any duty of confidentiality, privilege, or fiduciary duty to your clients or the court.

4.3 Judicial Guidance

Judicial officers and court staff should note the Hong Kong Judiciary's Guidelines on the Use of Generative Artificial Intelligence (July 2024) and any applicable practice directions.

4.4 Account Suspension

We reserve the right to suspend or terminate accounts for misuse or violation of these Terms. Reasonable notice will be provided where possible.

5. Intellectual Property

We own all rights in the Service, including software, AI models, interface, and documentation. You retain all rights in the queries and research notes you submit or create in the Service ("User Data").

You grant us a non-exclusive licence to process your User Data solely to provide the Service. This licence does not extend to using your User Data to train AI models, and it ends when you delete your User Data or close your account.

You represent and warrant that:

  • you have the rights to submit your User Data;
  • your User Data does not infringe any third-party rights; and
  • your User Data is lawful and complies with these Terms.

5.1 Third-Party Legal Content

(1) Hong Kong Legislation

Legislation in the Service is reproduced from the Hong Kong e-Legislation (HKeL) system under licence from the Department of Justice of the HKSAR Government. Licence is granted for both Product Reproduction and Mass Replication purposes. Copyright in all legislation is owned by the HKSAR Government under the Copyright Ordinance (Cap. 528).

The HKSAR Government is not responsible for the accuracy or currency of legislation reproduced here. For authoritative versions, refer to www.elegislation.gov.hk (PDF copies marked "Verified Copy") or the printed Government Gazette.

(2) Hong Kong Case Law

Case law is sourced from Hong Kong court judgments, including those of the Court of Final Appeal, Court of Appeal, Court of First Instance, District Court, and various tribunals. Displayed case law may not reflect the most recent decisions or any subsequent appeals, overruling, or distinguishing authorities. For authoritative versions, users should refer to www.judiciary.hk.

(3) General

The Service is not affiliated with, endorsed by, or sponsored by the HKSAR Government, the Department of Justice, the Hong Kong Judiciary, or the Hong Kong Legal Information Institute. All legal materials are provided for research and informational purposes only. To report a copyright concern, contact us at support@casebyte.ai.

6. Personal Workspace

The Service includes a Personal Workspace — a private in-Service area where you can save research notes across sessions.

All Workspace content is User Data and is subject to these Terms and the Privacy Notice. The Personal Workspace currently supports only conversations and case law; external document uploads are not supported.

Retention periods are set out in the Privacy Notice. We recommend exporting any research you wish to keep before closing your account.

8. Privacy and Data Protection

Our Privacy Notice forms part of these Terms. We collect:

  • your email address;
  • your name (optional); and
  • your professional role (optional);.

When you use our AI-powered features, your messages are transmitted to and processed by a third-party AI service provider whose servers may be located outside Hong Kong. The provider may retain your messages for a limited period for purposes including abuse prevention and safety monitoring, in accordance with its own policies.

We may send service-related communications. All marketing emails include an unsubscribe link in accordance with the Unsolicited Electronic Messages Ordinance (Cap. 593). You may unsubscribe at any time via that link.

9. Confidentiality

We treat all User Data as confidential and use it only to operate and provide the Service:

  • We do not use User Data to train general-purpose AI models without your consent. Anonymised or aggregated data may be used to improve system performance.
  • Human access to User Data is limited to providing technical support at your request, investigating security or abuse issues, and complying with legal obligations.

10. Warranties, Disclaimers, and Liability

10.1 Disclaimer of Warranties

The Service is provided "as is" and "as available." We update our legal databases daily but do not warrant that the Service reflects the most current legislation or judgments, that updates are error-free, or that the Service will be uninterrupted or fit for any particular purpose.

10.2 Outputs

Outputs are generated by machine learning models and may contain inaccuracies, omissions, or errors of legal interpretation. They are not legal advice and must be independently verified. We disclaim all liability for loss arising from unverified reliance on Outputs.

10.3 Third-Party Legal Content

We do not guarantee the accuracy, completeness, or currency of content sourced from the Hong Kong Judiciary or Hong Kong e-Legislation (see Section 5.1). You are solely responsible for evaluating and interpreting such content.

10.4 Limitation of Liability

To the fullest extent permitted by Hong Kong law, Casebyte is not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business opportunity, goodwill, or professional standing — whether in contract, tort, or otherwise. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under Hong Kong law.

11. Changes to the Service

We may modify or discontinue features from time to time. For material adverse changes to paid features during an active subscription, we will give reasonable advance notice and may offer alternatives or a pro-rata credit.

We plan to introduce new features, including document upload and expanded integrations. We will notify you of significant changes and update these Terms accordingly. Where a new feature involves additional personal data collection, we will update the Privacy Notice and notify you in advance.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region.

Any dispute arising from the use of the Service is subject to the exclusive jurisdiction of the courts of Hong Kong.

13. General Provisions

13.1 Relationship of the Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship. Each party is an independent contractor.

13.2 Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, government action, or utility failures. The affected party must give prompt notice and use reasonable efforts to resume performance.

13.3 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, provided the assignee assumes all obligations.

13.4 Waiver

Failure to enforce any provision is not a waiver. A waiver is only effective if made in writing.

13.5 Changes to These Terms

We may update these Terms and will give at least 14 days' notice of material changes by email or prominent notice on the Service. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.

13.6 Entire Agreement

These Terms, together with the Privacy Notice and any supplementary agreements, constitute the entire agreement between the parties regarding the Service and supersede all prior understandings. Any inconsistent terms you propose are rejected unless we expressly accept them in writing.

14. Copyright Complaints

If you believe content in the Service infringes your intellectual property rights, notify us in writing at support@casebyte.ai with:

  • identification of the work claimed to be infringed;
  • identification of the infringing material and its location in the Service;
  • your contact details; and
  • a good-faith statement that the use is unauthorised.

We will review all bona fide complaints and take appropriate action, including removing or disabling access to infringing content.
